Synapsis ("Synapsis") is a secure, peer-to-peer digital space for licensed healthcare professionals in East, Central, and Southern Africa to exchange clinical insights, collaborate on complex cases, and advance medical knowledge.

We offer opportunities for continuous learning, clinical decision support tools and other content ("Content") through the platform ("Platform") developed by Myelin Sheath Africa Limited ("we" or "us"), whose registered office is Block E, KMA Building, Chyulu Road, and the Company's registered postal address is Post Office Box Number 19624, Postal Code 00202, Kenyatta National Hospital, Nairobi, Kenya.

Your access to this Platform and its Content is provided based on these Terms and Conditions ("Terms"), which is a binding agreement between you and us. By registering for, accessing and using Synapsis, you agree to comply and be bound by these Terms, which we urge you to read carefully. If you do not agree to these Terms, please do not use the Platform.

The headings on these Terms are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section.

1. Eligibility and User Accounts

Before creating an account, we shall require you to provide verifiable, accurate and current information about your identity, professional cadre, speciality, and practice location. You are responsible for ensuring the accuracy of your registration details. To create an account to access, use and contribute to the Platform, you must be a licensed medical practitioner, student in training, or affiliated healthcare professional in good standing in your country of practice.

  • Register under your true name using a valid e-mail address and update this information as it may change
  • Not impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
  • Maintain the confidentiality of your password and account
  • Be fully responsible for all activities that occur under your password or account
  • Keep your login credentials secure and not share them with others

2. Your Use of the Platform

We provide the Content on the Platform for general information purposes only as a collaborative tool for peer-to-peer professional exchange. It is not intended to provide comprehensive medical advice or treatment; therefore, we accept no liability for any clinical decisions made based on your access or reliance on the Platform or its Content. You are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available through the Platform. You further agree, in your use of the Platform, to:

  • Maintain professional decorum and respect peer contributions
  • Share medical advice which must be evidence-based and within the scope of your expertise
  • Not post or share any content that infringes any third party's copyright, patent, trademark, trade secret, proprietary rights or confidential information
  • Not post any content which we consider harmful or unlawful (false, misleading, hateful, discriminatory, defamatory, vulgar, obscene, libellous, threatening, abusive, harassing, or invasive of another person's privacy)
  • Not violate patient confidentiality
  • Not use the Platform for prohibited advertising, promotional or commercial purposes such as spam, chain letters, or pyramid schemes
  • Not interfere with or disrupt the Platform, its servers or networks
  • Comply with all applicable laws, regulations and ethical guidelines

You agree to indemnify and hold us, our subsidiaries, affiliates, officers, owners, partners, directors, agents, and employees, harmless from any claim or demand, including reasonable advocate-client costs, made by any third party due to or arising out of your breach of these Terms or your violation of any law or the rights of any third party through your use of the Platform and/or Content.

3. Data Privacy, Security, Collection and Use

We are committed to protecting your data and privacy. All data is stored in compliance with the Data Protection Act (2019), the Digital Health Act, 2023, as read with applicable elements of the General Data Protection Regulation (GDPR), and all other applicable laws, regulations and ethical guidelines. We collect and store the following personal and professional information about you to provide you with access to the Platform and to enhance the Platform's functionality:

  • Your real name
  • Your National Identification document, or passport, containing your date of birth
  • Your photograph
  • Your e-mail address, telephone number, or third-party single sign-in information
  • Your password to your account on the Platform
  • Your biometric information for safety, security, and identification purposes (only with your consent)
  • Your cadre (e.g. Medical Officer, Specialist etc), applicable registration number
  • Your speciality and areas of interest
  • Your geographical area of practice
  • Your engagement patterns within the Platform

We employ the appropriate technical and organisational security measures to protect user data, including encryption and secure access protocols. Although we have taken all reasonable precautions, no method of transmission over the internet is 100% secure. You are solely responsible for maintaining the confidentiality of your username and password. More information is available in our Privacy Policy.

Patient Data Sharing

We may require you to share some patient data to enable collaborative peer-to-peer professional exchange. However, before sharing patient data, you must:

  • Fully anonymise all shared patient data. You shall not disclose any of the patients' personally identifiable information (PII)
  • Obtain informed consent from patients before sharing clinical data, even in anonymised form
  • Comply with the Data Protection Act, 2019 and the Digital Health Act, 2023, together with all other applicable laws, regulations and ethical guidelines

How We Use Your Data

  • Provide you access to the Platform
  • Personalise your experience on the Platform
  • Generate aggregated, anonymised insights for clinical and public health improvement
  • Enable relevant, non-intrusive engagement with carefully selected partners

Your Rights

  • Know how we shall use your personal data
  • Request access to your personal data in our custody
  • Object to the processing of all or part of your personal data
  • Correct false or misleading data
  • Update false or misleading data
  • Request deletion of your account and all associated data

4. Intellectual Property

The Synapsis logo and name are registered trademarks of Myelin Sheath Africa Limited, whereas all other trademarks and/or logos are the property of their respective holders. Any software that is made available through the Platform is the copyrighted work of Myelin Sheath Africa Limited. All Content on the Platform remains our property, and no material from the Platform may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way without our express written consent.

Except as expressly provided above, nothing contained in these Terms shall be construed as conferring any license or right to you under any copyright or other intellectual property right.

User-Generated Content

Any content (posts, comments, case summaries, etc.) you contribute to the Platform shall be considered as User-Generated Content, which remains your intellectual property. However, by using the Platform, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free licence to the User-Generated Content. Under the terms of this licence, we shall be free to use such User-Generated Content for any purpose whatsoever, including but not limited to developing, manufacturing and marketing products using such information.

5. Disclaimers and Limitation of Liability

This Platform and the Content are provided "as is" and without warranties of any kind, either express or implied. To the fullest extent permissible pursuant to applicable law, we disclaim all warranties, express or implied, and conditions, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We accept no obligation to ensure that the Content on this Platform is complete, accurate or up to date. We do not guarantee continuous, uninterrupted or secure access to the Content and/or the Platform, whose operation may be interfered with by numerous factors outside of our control.

  • We are not liable for any special, indirect or consequential damages
  • We are not liable for any damages resulting from loss of use, data or profits
  • We are not responsible for the availability of external sites or resources
  • We do not endorse content, advertising, products, or materials on external sites
  • We reserve the right to prohibit any link to materials or information on this Platform

6. Termination

We reserve the right in our absolute discretion to immediately issue a warning, temporarily suspend, indefinitely suspend or terminate your account on the Platform if you violate these Terms or applicable law. You agree that any termination of your access to the Platform under these Terms may be effected without prior notice, and you acknowledge and agree that we may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Platform. Further, you agree that we shall not be liable to you or any third party for any termination of your access to the Platform.

7. Amendments

We reserve the right, at our absolute discretion, to change, add, remove, modify or otherwise update these Terms at any time. We shall notify you of these changes via email or Platform notifications of the new effective date. Your continued use of the Platform after the new effective date will mean you accept those changes or modifications.

8. Notices

Except as explicitly stated otherwise, any notices to you shall be given through the email address you provide to us during the registration process. Notice shall be deemed given 24 hours after e-mail is sent, unless the sending party is notified that the e-mail address is invalid.

9. Governing Law and Dispute Resolution

The law applicable to these Terms, the use of this Platform and its Content, and any disputes arising from such use are the laws of the Republic of Kenya, whose courts shall be the courts of competent jurisdiction. Any dispute between you and us arising from these Terms shall be resolved first by direct communication with one or more of our management team members. If the dispute cannot be settled amicably, it shall be referred to the decision of a single arbitrator to be agreed upon between the Parties or, in default of agreement, within fourteen (14) days to be appointed at the request of either party by the Chairman for the time being of the Kenya Branch of the Chartered Institute of Arbitrators. The arbitration shall be conducted in Nairobi, Kenya, in the English language under the provisions of the Arbitration Act, 1995. The arbitrator's award shall be final and binding, which may be entered into any court of competent jurisdiction.
